Terms of Service

These Terms govern your access to and use of the SlashSpend website, dashboard, and API proxy (the “Service”), operated by 0739517 BC Ltd, a company incorporated in British Columbia, Canada. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you're using the Service on behalf of an organization, you represent that you can bind that organization.

SlashSpend is an OpenAI-compatible API proxy that routes, caches, compresses, and fails over your model requests to reduce spend. It is bring-your-own-key (BYOK): you supply your own model-provider credentials and remain the customer of record with those providers. SlashSpend is not a model provider and does not resell model access.

You're responsible for your account credentials and API keys, for all activity under your account, and for keeping your contact email current. Notify us promptly of any unauthorized use.

• The Service is $99 per month, flat, billed through Stripe. There is no free trial.
• No per-request markup, no percentage of spend, and no cut of your savings.
• Subscriptions renew automatically each month until cancelled. You can cancel anytime in the Stripe billing portal; access continues through the end of the paid period and is not pro-rated, except where required by law.
• Fees are exclusive of taxes; applicable taxes may be added at checkout.
• You remain solely responsible for all charges billed to you directly by your model providers for traffic you send through the Service.

You agree not to use the Service to:

• violate any law, or any terms of the model providers you route to;
• infringe others' rights or transmit unlawful, harmful, or infringing content;
• attempt to disrupt, reverse-engineer for competitive copying, or circumvent limits of the Service.

A soft cap of 5,000,000 requests/month applies to deter abuse; we'll email you before you approach it and raise it on request for legitimate high-volume use. We may suspend accounts engaged in abuse or that create risk to the Service or other users.

You retain all rights to your prompts, responses, and data. We do not claim ownership and do not use them to train models. In Local Key Mode we do not store your provider keys or your prompt/response content, as described in the Privacy Policy. You are responsible for having the rights to the content you send and for complying with your providers' agreements.

The Service is designed to fail open — if a SlashSpend layer degrades, your request proceeds; if we're unreachable, you revert one line of base-URL config and you're back to calling your provider directly. That said, the standard plan is provided without a uptime SLA. Formal SLAs, dedicated capacity, SSO, and invoice billing are available on enterprise terms — contact sales@slashspend.ai.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that routing/caching will produce any particular level of savings. Model outputs are generated by third-party providers and are their responsibility.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.

You agree to indemnify and hold SlashSpend harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or of any provider's terms.

You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, the proxy stops authorizing your key; your keys were never ours and your prompts were never stored, so there's nothing to reclaim — export your metadata first via GET /v1/export.

We may update these Terms; we'll revise the effective date and, for material changes, notify you by email or in-product. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located in British Columbia, Canada.
